Faced with an unsolicited offer<\/a> from Gannett Co., Tribune Publishing confirmed Monday that it is \u201cthoroughly evaluating the proposal in consultation with our independent financial and legal advisors.\u201d<\/p>\n

The Chicago-based parent company of the Chicago Tribune,<\/a> the Los Angeles Times and nine other dailies across the country said it has hired Goldman, Sachs & Co. and Lazard as financial advisors and Kirkland & Ellis LLP as legal advisor.<\/p>\n

\u201cThe Board is now engaged, with the assistance of its advisors, in a thorough review,\u201d the company said in a statement. \u201cThe Board is committed to acting in the best interests of shareholders and will respond to Gannett as quickly as feasible.\u201d<\/p>\n

Gannett, owner of USA Today and more than 100 other newspapers, has offered to pay $12.25 per share, which represents a 63 percent premium to Tribune\u2019s closing stock price or a total of about $815 million, for the company.<\/p>\n

Here is the text of an email from Tribune Publishing CEO Justin Dearborn:<\/strong><\/p>\n
